Most freelance web design disputes happen because there was no written contract. This template covers the essentials in plain English.

Scope of work

Page count, key features, integrations, deliverables, what is explicitly out of scope. The clearer this section, the fewer disputes.

Payment terms

Standard structure: 50% deposit on signing, 50% on launch. Larger projects can split into 3-4 milestones. Specify late fees (1.5% per month is typical).

Intellectual property

Specify: client receives full IP rights to all custom design and code on final payment. Designer retains rights to use the work in their portfolio. Third-party assets (stock photos, fonts) are licensed per their own terms.

Revisions

Specify: number of revision rounds included. What counts as a revision vs a new request. Hourly rate for additional work.

Timeline

Project timeline with milestone dates. Specify: client delays (e.g., late content delivery) extend the timeline by an equivalent amount.

Termination

Either party can terminate with 14 days written notice. Designer is paid for work completed to date. Client receives all work-in-progress files.

Confidentiality

Standard mutual NDA covering business information, trade secrets, and unreleased plans.

Limitation of liability

Designer's total liability is limited to the project fee. Excludes consequential damages.
